2保密及限定用途。双方仅可将相关资料用于交易。自本协议签署日起的三（3）年内，接收方应对相关资料予以保密，并且，未经披露方事先书面同意，不得将接收方当前或今后自披露方或其任何代表处收到或取得的任何相关资料披露给任何人士；但是，任何相关资料皆可在下列情形下予以披露：a受限于下文第8条的规定，如接收方在咨询外部法律顾问（简称“法律顾问”）后，善意认定适用的法律、法规或法律程序要求进行此等披露的；及b向需要该等信息以协助交易的代表进行披露（接收方应告知该代表该等信息的保密性质，并且该代表应同意对该等信息进行保密）。在任何情况下，接收方应对接收方或代表对本协议的任何违约行为及对相关资料的不当使用负责。在本协议中，“人士”应指（无限制性含义）任何公司、有限责任公司、合伙企业、信托公司、协会、合资公司、非法人组织、集团、个人或者政府机关或其任何部门、机构或下属分支机构。Co
